Terms of Service

These terms apply to the use of this website and, where a separate engagement letter does not say otherwise, to the services CorviaCo provides. Your engagement letter always takes precedence over this page.

Scope of services

The services we provide, and the fee for them, are set out in a written engagement letter agreed before work begins. Anything not described in that letter is outside scope until we agree otherwise in writing.

Your responsibilities

We rely on the information you give us. Filings are prepared from what you provide, and we cannot be responsible for consequences arising from information that was incomplete or inaccurate.

  • Provide accurate and complete information promptly
  • Approve filings within the timeframes we notify
  • Tell us about changes to directors, shareholders or activities
  • Complete identity verification where required

Director responsibilities remain yours

Statutory responsibility for a company's filings and records sits with its directors and cannot be transferred to a service provider. Our role is to prepare, monitor and submit; approval and legal responsibility remain with you.

Fees and payment

Fees are as stated in your engagement letter. Registry disbursements, government fees and taxes are charged in addition at cost. Annual fees are invoiced in advance; one-off work is invoiced on completion unless agreed otherwise.

Termination

Either party may end an engagement with thirty days' written notice. On termination we will hand over records in our custody, and any registered address service will end on a date that allows you to file a replacement address.

Limitation of liability

Nothing in these terms excludes liability that cannot lawfully be excluded. Subject to that, our liability in relation to an engagement is limited to the fees paid for that engagement in the preceding twelve months.

Governing law

These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction, unless your engagement letter specifies otherwise.
